1. Agreement and Binding Nature
By accessing this website or engaging the services of Sector Grid Lab, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. These terms apply to all visitors, enquirers, and clients.
If you are entering into an engagement on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms. If you do not have such authority, do not proceed with an engagement.
2. User Conduct and Obligations
All users of this website and all clients engaging Sector Grid Lab agree to the following conduct requirements:
- 2.1 You will not use this website or our services for any unlawful, fraudulent, or harmful purpose.
- 2.2 You will provide accurate and complete information in all communications and engagement agreements.
- 2.3 You will not attempt to reverse engineer, copy, or misappropriate the methodologies, formats, or report structures produced by Sector Grid Lab.
- 2.4 You acknowledge that engagement reports are for the client's internal use and may not be reproduced, distributed, or published without written consent.
- 2.5 You agree to provide reasonable access to the facility, relevant staff, and data required for the agreed scope of engagement.
3. Prohibited Activities
The following activities are expressly prohibited:
- — Using findings from an engagement to make claims about Sector Grid Lab's endorsement of any product, supplier, or outcome
- — Submitting content to this website that infringes third-party rights or contains malicious code
- — Sharing, reselling, or commercialising any materials produced by Sector Grid Lab without written agreement
- — Attempting to access private systems, documentation, or data beyond what is explicitly shared during the engagement
4. Age Requirements
This website is intended for use by adults of legal age in their jurisdiction. Our consultation services are intended for professional business use by authorised representatives of facilities and organisations, not for individual consumers. Service enquiries submitted by minors will not be processed.
5. User Responsibilities and Indemnification
By engaging Sector Grid Lab, you agree to the following:
- 5.1 You are responsible for ensuring that your use of our services complies with all applicable laws and regulations in your jurisdiction.
- 5.2 You agree to indemnify and hold harmless Sector Grid Lab from any claims, losses, or damages arising from your breach of these terms or misuse of our reports and findings.
- 5.3 Decisions made based on findings in our reports are your sole responsibility. Sector Grid Lab provides observations and options — not directives or guarantees of outcome.
6. Disclaimer of Warranties
To the fullest extent permitted by law:
- 6.1 This website is provided on an "as is" basis without warranties of any kind, whether express or implied.
- 6.2 Sector Grid Lab does not warrant that consultation findings will result in any specific operational, financial, or other outcome.
- 6.3 All findings are based on observation and data available during the engagement period. Results may vary depending on facility type, operational context, and subsequent changes.
7. Limitation of Liability
Sector Grid Lab's aggregate liability to any client in connection with an engagement shall not exceed the fees paid for that engagement. In no event shall Sector Grid Lab be liable for:
- — Indirect, consequential, or incidental loss or damage
- — Loss of profit, revenue, or business opportunity
- — Any loss arising from reliance on findings without independent verification where applicable
8. Force Majeure
Sector Grid Lab shall not be liable for any failure or delay in performing obligations under an engagement agreement where such failure or delay results from circumstances beyond reasonable control — including natural disasters, government actions, infrastructure failure, or public health emergencies.
9. Governing Law and Dispute Resolution
These Terms and Conditions are governed by the laws of Japan. In the event of a dispute, the parties agree to attempt resolution through good-faith negotiation before pursuing formal proceedings.
If resolution cannot be reached through negotiation, disputes shall be subject to the exclusive jurisdiction of the competent courts in Japan.
10. Severability
If any provision of these Terms and Conditions is found to be unenforceable or invalid by a competent court, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.
11. Amendments
Sector Grid Lab reserves the right to modify these Terms and Conditions at any time. Updated terms will be published on this page with a revised date. Continued use of the website or services after such changes constitutes acceptance of the updated terms.
